End User License Agreement

1. License Grant

Subject to your compliance with these terms, WISEalign grants you a limited, non-exclusive, non-transferable license to use our software platform for your internal business purposes.

2. Restrictions

• You may not reverse engineer, decompile, or disassemble the software
• You may not redistribute or resell access to the platform
• You may not use the software for illegal purposes
• You may not attempt to bypass security measures

3. Data Security and Privacy

• All data is encrypted in transit and at rest
• Access controls prevent unauthorized data access
• Regular security audits and monitoring
• Compliance with GDPR, CCPA, and other applicable privacy laws

4. Service Level Agreement

• Target uptime: 99.9% excluding scheduled maintenance
• Planned maintenance communicated 48 hours in advance
• Support response times based on subscription tier
• Data backup and disaster recovery procedures in place

5. Intellectual Property and Trade Secrets

WISEalign™ and proprietary methodologies are owned by WISEalign LLC. All software, content, and materials are protected by copyright and other IP laws.

Confidentiality Obligations

By using this software, you agree to:

• Maintain strict confidentiality of all proprietary algorithms
• Not disclose survey generation methods to competitors
• Prevent unauthorized access to WISE intellectual property
• Report any suspected IP violations to WISEalign immediately

Enforcement

Violations of intellectual property rights may result in immediate service termination, legal action, and claims for damages including attorney fees.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISEALIGN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Termination

This license terminates automatically if you breach any terms. Upon termination, you must cease all use of the software and delete any downloaded materials.

8. Governing Law

This Agreement is governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Larimer County, Colorado.
